These Terms of Service ("Terms") constitute a legally binding agreement between you and Deltalink1, Inc. ("Deltalink1") governing your access to and use of the Deltalink1 platform and services. By accessing or using our services, you agree to be bound by these Terms.
You must be at least 18 years of age and have the authority to enter into a binding agreement on behalf of your organization to use Deltalink1. If you are using our services on behalf of an organization, that organization agrees to these Terms.
Subject to these Terms and your payment of applicable fees, Deltalink1 grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for your internal business purposes. You may not sublicense, resell, or otherwise transfer your rights to any third party.
You agree not to use Deltalink1 to transmit unlawful, harmful, or objectionable content; to violate any applicable laws or regulations; to infringe intellectual property rights; to interfere with platform security or integrity; or to engage in any activity that disrupts other users' access to the service.
Deltalink1 retains all rights, title, and interest in the platform, including all intellectual property. You retain ownership of content you create or upload. By using our recording and transcription features, you represent that you have obtained all necessary consents from meeting participants as required by applicable law.
Deltalink1 targets 99.97% monthly uptime for Enterprise plans. In the event of service unavailability below the SLA threshold, customers are eligible for service credits as described in their Enterprise Agreement. We perform scheduled maintenance with advance notice and strive to minimize disruption.
To the maximum extent permitted by law, Deltalink1's total liability for any claims arising under these Terms shall not exceed the fees paid by you in the twelve months preceding the claim. Deltalink1 is not liable for indirect, incidental, or consequential damages.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Disputes shall be resolved through binding arbitration in Austin, Texas, except where prohibited by law.
